Please read these Terms of Use ("Terms") carefully before using the Capitowl mobile application, website, and related services (collectively, the "Services") operated by Capitowl, LLC ("Capitowl," "we," "us," or "our").

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Services.

Eligibility

You must be at least 18 years of age and a resident of the United States to use the Services. By using the Services, you represent and warrant that you meet these requirements.

Your Account

Registration

To access most features of the Services, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Keep your password confidential and not share it with anyone
  • Notify us immediately of any unauthorized access to your account

You are responsible for all activity that occurs under your account.

Account Termination

We reserve the right to suspend or terminate your account at any time for violation of these Terms, fraudulent activity, or any other reason at our discretion. You may delete your account at any time through the app settings.

Use of the Services

Permitted Use

You may use the Services solely for personal, non-commercial purposes in accordance with these Terms. You agree not to:

  • Use the Services for any unlawful purpose or in violation of any regulations
  • Attempt to gain unauthorized access to any part of the Services or our systems
  • Reverse engineer, decompile, or disassemble any part of the Services
  • Transmit any viruses, malware, or other harmful code
  • Use automated tools to scrape, crawl, or extract data from the Services
  • Impersonate any person or entity or misrepresent your affiliation

Financial Information

The Services connect to your financial accounts to display data and generate insights. By linking your accounts, you authorize Capitowl and its data providers to access your financial information on your behalf. This authorization is subject to the terms of the applicable data provider.

The Services are for informational purposes only. Nothing in the Services constitutes financial advice, investment advice, or a recommendation to buy or sell any security or financial product. You should consult a qualified financial advisor before making financial decisions.

Intellectual Property

Our Property

The Services, including all content, features, and functionality (including but not limited to text, graphics, logos, icons, images, and software), are owned by Capitowl or its licensors and are protected by intellectual property laws. You may not reproduce, distribute, modify, or create derivative works without our express written permission.

Your Content

You retain ownership of any information or content you submit through the Services. By submitting content, you grant us a non-exclusive, royalty-free, worldwide license to use, reproduce, and display that content solely in connection with providing the Services.

Third-Party Services

The Services integrate with third-party services (such as Plaid for financial data aggregation and investment data providers). Your use of these third-party services is subject to their respective terms of service and privacy policies. We are not responsible for the practices of third-party service providers.

Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

  • The Services will be uninterrupted, timely, secure, or error-free
  • The information displayed (including account balances and transaction data) will be accurate or current at all times
  • Any errors in the Services will be corrected

Financial data is provided by third-party aggregators and may not always reflect real-time account information.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CAPITOWL AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

Indemnification

You agree to indemnify and hold harmless Capitowl and its officers, directors, employees, and agents from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from your use of the Services, your violation of these Terms, or your violation of any third-party rights.

Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law provisions. Any dispute arising from these Terms or the Services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

You waive your right to participate in a class action lawsuit or class-wide arbitration.

Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes via email or in-app notification at least 14 days before changes take effect. Continued use of the Services after the effective date constitutes acceptance of the updated Terms.
